Welcome to careerspawn.com (the “Website”), operated by Careerspawn, Inc., a Colorado S Corporation (“Careerspawn,” “we,” “us,” or “our”). The Website, including its subdomains (e.g., my.careerspawn.com) and related tools or services, is collectively referred to as the “Service.” By accessing or using the Service, or by clicking “I Agree” where prompted, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, you may not use the Service.

BY USING THE SERVICE, YOU AGREE TO RESOLVE DISPUTES THROUGH BINDING ARBITRATION ON AN INDIVIDUAL BASIS, WAIVING YOUR RIGHT TO A JURY TRIAL OR CLASS ACTION, AS DESCRIBED IN SECTION 12. YOU MAY OPT OUT OF ARBITRATION BY CONTACTING info@careerspawn.com WITHIN 30 DAYS OF FIRST ACCEPTING THESE TERMS, PROVIDING YOUR FULL NAME AND STATING YOUR INTENT TO OPT OUT.

1. About CareerspawnCareerspawn, Inc. is a Colorado S Corporation with its principal place of business in Englewood, Colorado, United States. All references to “we,” “us,” or “our” refer to Careerspawn, Inc.

2. Use of the Service

2.1 Service Description. The Service includes career-related tools, job listings, and user account features to help professionals connect with job opportunities, accessible via www.careerspawn.com, app.careerspawn.com, or other platforms, which may be updated or modified from time to time. Any person accessing or using the Service is a “User.”

2.2 License. Subject to your compliance with these Terms, Careerspawn grants you a non-exclusive, revocable, non-transferable license to access and use the Service for personal, non-commercial purposes. The Service is not for resale unless explicitly permitted in writing.

2.3 Your Responsibilities. You may use the Service only for lawful purposes and as intended. You agree not to:

  • Copy, reproduce, modify, reverse engineer, or distribute Service content without written consent.

  • Use the Service to harm, disable, or impair our systems or interfere with other Users’ access.

  • Post or transmit content that is unlawful, defamatory, obscene, or infringes third-party rights.

  • Attempt unauthorized access to the Service, user accounts, or systems via hacking or other means.

  • Use the Service to transmit viruses, worms, or harmful code.

  • Create accounts through automated means or false pretenses.

  • Use the Service to build a competing service.

2.4 Equipment. You are responsible for providing and maintaining all hardware, software, and telecommunications services (e.g., internet or cellular) needed to access the Service (“Equipment”). Careerspawn is not responsible for performance issues related to your Equipment or associated fees (e.g., data or roaming charges).

2.5 Deactivation. Careerspawn may, at any time and without notice, restrict, suspend, or terminate your access to the Service, or modify or discontinue the Service, for any reason, including violation of these Terms. Careerspawn is not liable for any such actions, and your sole remedy is to stop using the Service.

3. Cookies and Tracking

We use cookies and similar technologies to enhance your experience, analyze performance, and personalize content. Essential cookies are required for functionality, while optional cookies (e.g., for analytics) can be managed via browser settings or our cookie consent tool. By using the Service, you consent to our use of cookies as described in our Privacy Policy.

4. User Accounts and Content

4.1 Registration. To access certain features (e.g., my.careerspawn.com), you may need to create an account. You must provide accurate, current, and complete information during registration and update it as needed. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately of any unauthorized use at info@careerspawn.com (mailto:info@careerspawn.com). Careerspawn is not liable for losses due to unauthorized use of your account, but you may be liable for losses incurred by us or others.

4.2 User Content. If you post content (e.g., comments, resumes, or profiles), you grant Careerspawn a worldwide, non-exclusive, sublicensable, royalty-free, perpetual license to use, reproduce, modify, and distribute such content for Service operations, improvement, and promotion, including marketing, without compensation. You represent and warrant that:

  • You own or have rights to post the content.

  • The content does not infringe third-party rights or violate laws.

  • The content is free of viruses or harmful code.

We may monitor, edit, or remove content that violates these Terms. You are solely responsible for your content and its consequences.

4.3 Messages. The Service may allow Users to exchange messages. Sending messages is a privilege, not a right, and we may terminate this privilege at any time. Harmful or offensive messages are prohibited. Notify us at info@careerspawn.com (mailto:info@careerspawn.com) if you receive objectionable messages. Messages are not considered confidential, and we may monitor them for compliance.

5. Third-Party Trademarks and Services

5.1 Trademarks. Third-party trademarks (e.g., LinkedIn®, Indeed®) displayed on the Service are the property of their owners. Their use does not imply endorsement or affiliation with Careerspawn.

5.2 Third-Party Services. The Service may integrate with third-party platforms (e.g., LinkedIn, Zoom) or plugins (“Third-Party Services”). Your use of Third-Party Services is at your own risk, and Careerspawn does not warrant or support them, even if recommended. Any data exchange with Third-Party Services is between you and the provider. We are not responsible for their availability, performance, or compliance with laws.

5.3 Links. The Service may contain links to external websites. We are not responsible for their content, privacy practices, or availability.

6. Privacy and Data Protection

Our Privacy Policy details how we collect, use, and protect your information in compliance with the Colorado Privacy Act and applicable laws. By using the Service, you agree to our data practices. You consent to electronic communications from us regarding security, privacy, or administrative issues. If we detect a security breach, we may notify you via email or a Website notice. To receive written notice or withdraw electronic consent, contact info@careerspawn.com (mailto:info@careerspawn.com).

7. Payment Term

s7.1 Fees. Access to certain Service features may require payment of one-time or subscription fees. You will have the opportunity to review fees before being charged. For subscriptions, you authorize Careerspawn or its third-party payment processor (e.g., Stripe) to charge recurring fees until cancellation. Cancel subscriptions via the Service at least 24 hours before renewal.

7.2 Payment Processing. Payments are processed by third-party providers (e.g., Stripe, subject to their privacy policy and terms). By providing payment information, you consent to Careerspawn sharing it with the processor and agree to their terms. You are responsible for any additional fees (e.g., credit card surcharges).

7.3 Free Trials. We may offer free trials for limited periods. You can manage or cancel trials through the Service. No refunds or credits are provided if trials or Third-Party Services are discontinued.

8. Intellectual Property

8.1 Careerspawn IP. The Service, including its content, templates, and updates, is owned by Careerspawn or its licensors. No ownership rights are transferred to you. You may not challenge Careerspawn’s ownership of its trademarks or marks.

8.2 Feedback. If you provide feedback or suggestions about the Service, you assign all rights to Careerspawn, and we may use it without payment or restriction.

8.3 Usage Data. We may collect and analyze aggregated data about your Service usage (“Usage Data”) to improve the Service or comply with legal requirements. Usage Data is not associated with you personally.

8.4 Copyright Infringement. If you believe content on the Service infringes your copyright, send a notice to info@careerspawn.com (mailto:info@careerspawn.com) per the Digital Millennium Copyright Act (DMCA), including:

  • Your signature (physical or electronic).

  • Identification of the copyrighted work.

  • Identification of the infringing material.

  • Your contact information.

  • A statement of good faith belief and accuracy.

Counter-notices for wrongful claims can also be sent to the same address. Consult a legal advisor before filing, as false claims may have penalties.

9. Limitation of Liability

9.1 Exclusion of Damages. To the fullest extent permitted by law, Careerspawn and its affiliates, officers, directors, employees, or agents (“Careerspawn Parties”) will not be liable for consequential, incidental, special, or exemplary damages, including lost profits or data, arising from your use of the Service, even if advised of such damages.

9.2 Damages Cap. Careerspawn’s total liability, regardless of the claim, will not exceed the greater of: (a) fees paid by you to Careerspawn in the six months prior to the claim, or (b) $100.

9.3 Independent Investigation. You acknowledge that you have independently evaluated the risks of using the Service and will maintain insurance to cover such risks.

10. IndemnificationYou agree to defend, indemnify, and hold harmless the Careerspawn Parties from any third-party claims arising from:

  • Your breach of these Terms.

  • Unauthorized use of the Service.

  • Your content or actions violating third-party rights.

Careerspawn may control the defense of such claims, and you will cooperate fully. You may not settle claims admitting liability without our consent.

11. No Warranties

The Service is provided “as is” and “as available” without warranties, express or implied, including for accuracy, reliability, or fitness for a particular purpose. We do not guarantee uninterrupted or error-free operation or freedom from viruses. Your use and reliance on the Service are at your sole risk. Some jurisdictions may not allow warranty exclusions, so these may not apply to you.

12. Dispute Resolution

12.1 Arbitration. You and Careerspawn agree to resolve disputes arising from these Terms or the Service through binding arbitration, governed by the Federal Arbitration Act and the American Arbitration Association’s Consumer Arbitration Rules (“AAA Rules”), available at www.adr.org or by calling 1-800-778-7879. Arbitration will be conducted by a neutral arbitrator, who may award the same remedies as a court. YOU WAIVE THE RIGHT TO A JURY TRIAL OR CLASS ACTION, EXCEPT AS NOTED BELOW.

12.2 Exceptions. You or Careerspawn may: (a) bring individual claims in small claims court, (b) seek injunctive relief in court, or (c) file suits for intellectual property infringement.

12.3 Process. Before arbitration, send a written notice to info@careerspawn.com (mailto:info@careerspawn.com) within the statute of limitations, including your name, address, claim details, and relief sought. If unresolved within 45 days, either party may commence arbitration. Settlement offers remain confidential until the arbitrator’s decision. If you prevail, Careerspawn will pay the greater of: (a) the arbitrator’s award, (b) our last settlement offer, or (c) $1,000.

12.4 Fees and Location. For claims under $15,000, Careerspawn will reimburse your AAA filing fee. You may choose arbitration by documents, telephone, or in-person in Denver County, Colorado. For claims over $15,000, AAA Rules govern fees. Frivolous claims may require you to reimburse Careerspawn’s fees per AAA Rules.

12.5 No Class Actions. Claims must be brought individually, not as part of a class or representative action, except under Colorado’s equivalent to the California Private Attorneys General Act, if applicable.

12.6 Opt-Out. To opt out of arbitration, email info@careerspawn.com (mailto:info@careerspawn.com) within 30 days of accepting these Terms, providing your full name, address, and intent to opt out. No retaliation will occur. Consult an attorney about arbitration’s implications.

12.7 Enforceability. If the class action waiver or arbitration provision is unenforceable, disputes will be resolved in Denver County, Colorado courts per Section 13.

13. Governing Law and Jurisdiction

These Terms are governed by Colorado law, without regard to conflict of law principles. Subject to Section 12, disputes will be resolved exclusively in state or federal courts in Denver County, Colorado, and you consent to their jurisdiction. The prevailing party in any enforcement action may recover costs and attorney fees.

14. Term and Termination

14.1 Term. These Terms begin when you access the Service and continue until terminated.

14.2 Termination. Either party may terminate these Terms for a material breach that is uncured after 30 days’ notice. Careerspawn may terminate or suspend your access at any time for violations or other reasons. Upon termination, your access ceases, but Sections 2.3, 4.2, 4.3, 5–11, 12, 13, and 15 survive.

14.3 Effect. Termination does not limit other remedies or liability for prior breaches.

15. Miscellaneous

15.1 Severability. If any provision is invalid or unenforceable, the remaining provisions remain in effect.

15.2 No Waiver. Failure to enforce any right does not waive it.

15.3 Assignment. You may not assign these Terms without our consent. Careerspawn may assign them without restriction.

15.4 Entire Agreement. These Terms and our Privacy Policy constitute the entire agreement, superseding prior agreements.

15.5 Notices. Notices must be in writing and delivered personally, by courier, certified mail, or email to info@careerspawn.com (mailto:info@careerspawn.com). Notices are effective upon receipt.

15.6 Force Majeure. Careerspawn is not liable for delays due to causes beyond its control (e.g., natural disasters), provided we attempt to mitigate them.

15.7 Apple Notice. If using the Service on an iOS device, these Terms are between you and Careerspawn, not Apple. Apple is not responsible for the Service, its content, or warranties. Apple may refund app purchase prices if the Service fails to conform to warranties, but has no other obligations. Apple is a third-party beneficiary with enforcement rights.

15.8 California Users.
